The Kula Brand LLC and Wholesale Account have indicated an interest in exploring a potential business relationship (the "Transaction"). In connection with their respective evaluation of the Transaction, each Party, their respective affiliates, and their respective directors, officers, employees, agents, or advisors (collectively, "Representatives") may provide or gain access to certain confidential and proprietary information (hereafter referred to as “Confidential Information” and defined further in Paragraph 1 below). A Party disclosing its Confidential Information to the other Party is hereafter referred to as a "Disclosing Party." A Party receiving the Confidential Information of a Disclosing Party's hereafter referred to as a "Receiving Party." In consideration for being furnished Confidential Information, The Kula Brand LLC and Wholesale Account agree as follows:

Confidential Information and Minimum Retail Price:

  1. Confidential Information shall include all non-public, confidential, or proprietary information disclosed by a Disclosing Party to a Receiving Party, either directly or indirectly, in writing, orally, or by inspection of tangible objects, including but not limited to, trade secrets, know-how, product specifications, financial data, marketing data, customer lists, and business plans.

  2. The Kula Brand LLC enforces a Minimum Retail Price  (MRP) policy for all products. This policy ensures that all of our distributors advertise our products at or above the established MRP. Distributors found advertising our products below the established MRP will be contacted and given a chance to correct the pricing within a specified time frame. Failure to comply with the MRP policy may result in termination of the distributor relationship and the revocation of access to The Kula Brand's products and services.

  3. By using The Kula Brand website, purchasing, or using any of our products, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including the Confidential Information and Minimum Retail Pricing sections. If you do not agree to these Terms of Service, please do not use The Kula Brand website or purchase any products or services offered therein.

 

If the merchant is non-compliant, The Kula Brand will contact the vendor and give them 3 days to adhere to KULA’s MRP compliance. If this is not corrected, The Kula Brand LLC will cease to supply the distributor.

Social Media, Podcasts, and Other Marketing Distribution:

The Kula Brand, its affiliates, and its representatives are not responsible for any claims made by third-party entities, individuals, or influencers through social media platforms, podcasts, or any other marketing distribution channels. These channels are not authorized to provide medical or professional advice on behalf of The Kula Brand. Any statements made on such platforms do not represent the views or opinions of The Kula Brand, and the company cannot be held liable for any claims, damages, or consequences resulting from the information shared on these platforms.
